Corporate Secretarial Manager – SingaporeResponsibilities
  • Handle full spectrum of corporate secretarial work for various fund projects including over 100 Singapore companies, Limited Partnerships, VCCs, and Branches.
  • Respond to client queries and review documents prepared by the support team, such as resolutions, AGM and EGM minutes, incorporation packs, and striking‑off packs.
  • Prepare complex resolutions and documentation for complicated transactions.
  • Manage share transfers and apply relevant stamp duty for private companies and VCCs with the Inland Revenue Authority of Singapore.
  • Handle share‑related transactions for fund structures, including shares allotment, preference share redemption, and profit distribution.
  • Oversee incorporation and striking‑off of Singapore entities.
  • Process Corppass registration and authorisation.
  • Ensure completeness of transactions from document preparation to ACRA/IRAS filings.
  • Maintain statutory records and registers (Register of Members, Directors, Charges, Registers of Registrable Controllers, and Register of Nominee Directors) for client entities.
  • Assist with KYC‑related tasks, onboarding, and periodic review.
  • Organise and attend board meetings, IC meetings, and members meetings, including preparation of board packs.
  • Stay informed of new ACRA requirements and changes to the Singapore Companies Act and update the team accordingly.
  • Provide guidance to team members and train them to handle client requests independently.
  • Participate in billing, internal reporting, and internal process or procedure implementation or enhancement for corporate secretarial functions.
  • Carry out other ad‑hoc assignments as assigned.
Qualifications
  • 7 to 10 years of secretarial experience.
  • Strong knowledge of the Singapore Companies Act, corporate governance, and procedures for secretarial transactions.
  • Relevant professional qualifications are an advantage.
  • Knowledge of fund structures is an advantage.
  • Excellent communication skills and strong attention to detail.
  • Proactive, problem‑solving mindset with the ability to work independently and as part of a team.
  • Ability to review and guide team members on secretarial matters.
  • Capability to work under a fast‑paced environment and manage multiple tasks.
  • Ability to liaise effectively with a wide range of stakeholders, including directors, bankers, auditors, tax agents, investment managers, and authorities.
